5. Intellectual Property

All content published on the Paxelis website — including text, design elements, logos, and service documentation — is the intellectual property of Paxelis unless otherwise noted. You are granted a limited, non-exclusive licence to access and view this content for personal, non-commercial purposes.

You may not copy, adapt, reproduce, or commercially exploit any material from this website without prior written authorisation from Paxelis. 6. Payment Terms

All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated. Indicative pricing displayed on this website reflects standard service scopes and is subject to adjustment based on matter complexity.

  • Payment terms will be detailed in the engagement letter issued prior to commencement.
  • A deposit or advance payment may be required before work begins.
  • Accepted payment methods include bank transfer and other methods communicated in the engagement letter.
  • Overdue invoices may attract late payment charges as specified in the engagement letter.

Refund Policy: Fees paid for services already rendered are non-refundable. Where a matter is discontinued before completion, any unused portion of advance fees will be assessed and returned at Paxelis' reasonable discretion, taking into account work completed and disbursements incurred.

7. Service-Specific Terms

Employment Law Counsel

Advice provided is based on Malaysian employment law as at the date of engagement. Changes in legislation occurring after delivery of advice are not covered unless a new engagement is agreed. Our role is advisory; representation at tribunal proceedings is subject to a separate arrangement.

Intellectual Property Filing

Filing timelines are subject to MyIPO processing schedules and are outside Paxelis' control. We will keep you informed of progress throughout the process. Acceptance of a filing does not constitute a confirmation that registration will succeed, as final decisions rest with MyIPO.

Immigration Compliance

Advisory services are based on prevailing Malaysian immigration policy. Outcomes are subject to the discretion of the Immigration Department of Malaysia. Paxelis facilitates the process and provides documentation support but does not control departmental decisions.

8. Disclaimers

Our total liability in connection with any service engagement shall not exceed the fees paid by you for that specific engagement. Nothing in these terms shall limit liability for fraud, death, or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold harmless Paxelis, its principals, and staff from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these terms, your misuse of the website, or your provision of inaccurate or incomplete information in the course of an engagement.

11. Termination

Either party may terminate an engagement by providing written notice in accordance with the terms set out in the engagement letter. Upon termination, you remain responsible for fees relating to work completed up to the date of termination, plus any disbursements incurred.

Paxelis may discontinue access to the website or refuse further services where these terms have been materially breached. Clauses relating to intellectual property, liability, and dispute resolution shall survive termination.

12. Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from or in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts of Penang, Malaysia.

Informal Resolution: We encourage any concerns to be raised with us directly in the first instance. Many matters can be resolved through open communication without formal proceedings.

Where informal resolution is not achievable, the parties may agree to refer the dispute to mediation through an accredited mediator before commencing court proceedings.

13. General Provisions

  • Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties with respect to the subject matter herein.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure by Paxelis to enforce any provision shall not constitute a waiver of that provision or any other right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Paxelis may assign its rights in connection with a business transfer or restructuring.
  • Notices: Formal notices should be sent to [email protected] or to our registered address.
